Board Meeting, March 6, 2017

Board of Directors’ Meeting
Monday, March 6, 2017

The meeting was called to order at 6:30 pm at the Best Western Plus GranTree Inn. Board members present:  Sharyn Anhalt, Dian Bottcher, Karin Jennings and Dorick Savageau, representing a quorum. Debbie Dehmer, President of Golf Course Partners (GCP) was also in attendance, along with members of BCSCA listed at the end of these minutes.

Approval of Agenda – A motion was made to approve the agenda for this meeting, seconded and approved unanimously.

Approval of Minutes – A motion was made to approve the minutes from the Board Meeting of January 9, 2017, which was seconded and approved unanimously.

Board Vacancy – Karin made a motion to nominate Tom Wilson to fill the vacant Board seat, seconded by Dian, and approved unanimously.

Easement Request – Sharyn provided a summary and overview of the situation whereby the Association has been requested by Golf Course Partners (GCP) (per Article V Section 5c of our Covenants) to grant a utility easement to the City of Bozeman from Boylan Road through the Phase I park to the 12 acre parcel owned by Tom Murphy (Bridger Center LLC). This easement is a condition from the City of Bozeman to grant approval of GCP’s additional development of the Links Condo project. BCSCA’s attorney, Eric Nord, is working with GCP’s attorney to draft an easement that meets City requirements and addresses concerns over this easement ever being treated as access to that parcel. The easement will specifically note that it is for utilities only, not ingress or egress. In addition, the easement will note the location of the storm water drainage system and the drain pipe installed by Village Green Townhomes in 2008.

Following the summary and overview, members asked questions and were able to comment on the issue. After answering questions and responding to comment, the Board reviewed the minutes from the December meeting that outlined the conditions of the easement, and discussed the remaining items that need to be resolved before signing. Sharyn proposed to Debbie and Dorick, representing GCP, that an agreement be executed between the parties that in return for the easement being granted to the City, GCP would not request any further easements for this parcel under Article V Section 5c of the Covenants. They agreed, but indicated their board would need to vote on it.

Once the final easement is received from the City and a final draft of the agreement between GCP and BCSCA is prepared, the Board will schedule a special meeting to approve signing the documents.

Design Review – Dave Andreassi, Committee Chair, reported via email that plans for a new home at 1024 Boylan have been approved. Sharyn reported that the review fee was received.

Parks and Trails – Karin reported that she followed up on an action from the January meeting and contacted Andy Kerr, City Engineering, about both the request for another cross-walk (south crossing of Boylan and Story Mill Roads) and request for No Parking signs to be installed on the north side of the entrance of Augusta Drive. The No Parking sign request has been submitted and is under review. The additional cross-walk was denied and Andy explained that motorists are required to stop for pedestrians at intersections whether or not there is a cross-walk and/or sign present.

Karin reported on her meeting that day with Kyle Mehrens, City Stormwater Program Coordinator, at the Phase 1 park to review the drainage swale and stormwater pond. The purpose of the meeting was to discuss the drainage swale in relation to the utility easement (see above) as well as the groundwater entering the drainage swale from the French drain installed by Village Greens Condos in 2008.

The primary results from the on-site meeting were:
            1) The drainage swale and stormwater pond are man-made features designed to perform a purpose relating to water quality and flood control. At present, there is additional groundwater entering the system from the Village Green Condos French drain. It is not a problem to mix this fresh ground water with stormwater runoff, but only if the stormwater system has sufficient capacity to handle that volume.
            2) The stormwater pond, as almost all stormwater ponds and other features throughout the City, needs to be maintained in order to perform the function that it was designed for. Maintenance means that it likely needs to be dredged to remove sediment from runoff and vegetative matter (trees, shrubs, cattails, etc.) that have built up in the almost 20 years since it was installed. Maintenance of the pond (dredging, etc.) may be a $20-30k expense for the initial activity (likely less costly in the future if maintenance is conducted semi-regularly). The best time to conduct such maintenance was January or February when the ground is still frozen.
            3) The additional water being conveyed to the stormwater system (swale and pond) from the French drain may not have been taken into account when the French drain was installed. The capacity of the pond may need to be reevaluated, and consider re-routing the end point of the French drain in order to bypass the stormwater system.

The Board will get more information on the original design for the French drain and stormwater system from Morrison Maierle. Budget may need to be allocated in future years for maintenance of all of the stormwater systems in the Association, including drainage swales in other areas of our subdivision. 

Finance/Treasurer Report – Current Financial Statements were provided, reviewed and approved unanimously. Past due notices were mailed in February with notice of lien to be filed if not paid by March 31, 2017. Tom offered to telephone any owners with unpaid assessments if we have phone numbers for them.

The Board discussed the organization of Association records, maintenance of important documents, and whether we had a policy on how long to maintain certain records. It was decided to table the discussion until a later date. Tom agreed to draft a proposed Records Retention Policy for review by the Board.

Annual Membership Meeting – The Annual Membership meeting is set (per our Bylaws) as the first Monday of May, which will be May 1, 2017. Information, including ballots, needs to be mailed to owners the 1st week of April. Since the Board will be calling a special meeting in the near future to review the easement documents, Sharyn made a motion to table this discussion until that meeting, seconded and approved unanimously.

New Business – Tom Wilson was nominated to fill the open officer position of Vice President, seconded and approved unanimously.

Board Meeting Jan 9th 2017

Monday, January 9, 2017

The meeting was called to order at 6:35 pm at Sharyn Anhalt’s home. Board members present:  Sharyn Anhalt, Dian Bottcher, and Karin Jennings; Dorick Savageau was absent.

Approval of Minutes – The minutes from the Board Meetings of November 7, 2016 and December 14, 2016 were approved unanimously.

Finance/Treasurer Report – The Board reviewed the final Financial Statement from Fiscal Year ending June 30, 2016 and reviewed financial activity to date July 1, 2016 - January 9, 2017. The list of overdue assessments was reviewed and discussed. There are 15 lots with overdue assessments and about six of these have overdue assessments greater than one year. Notices with late charges were mailed in October. Filing liens was discussed; it was decided to send another reminder with late charges, along with a deadline to pay before a lien is filed. The Board discussed whether to implement increased late charges and will revisit this later in the spring.

Easement Request for Murphy Property – No update.

New Business –

Karin and Sharyn reported on their investigations into Management Companies for running the Association, thereby potentially making it more feasible for homeowners to volunteer for Board positions. They met with Luna Properties and Minnick Management. Either seems to be a reasonable option. Fees for both were presented as less than approximately $1000/month, based on preliminary discussions, and for each fees/costs are negotiable depending on the activities the Board wants them to undertake. Sharyn also suggested that our current bookkeeper, Kim, may be another option for handling more of the management tasks and will proceed to talk with her and get a cost estimate if she is interested. The Board plans to present working with a management company/manager to the membership at the Annual Membership meeting in May to obtain feedback. However, it is ultimately a decision for the Board, which also has the power to make an additional assessment to cover additional costs per our Bylaws, if necessary.

Sharyn raised a concern about parking on Augusta near the mailboxes and concern about emergency access and mail delivery when blocked, particularly during events at the golf course. Karin volunteered to raise the issue with the City of Bozeman Engineering Department to request “no parking” signs, as well as revisit (yet again) the need for a cross-walk and sign on Story Mill Road at the south intersection with Boylan Road. Previously the City has said no because it is marked on the north intersection with Boylan.

The meeting was called to order at 7:30 am at Morrison Maierle’s offices in Bozeman.
Board members:  Sharyn Anhalt, Dian Bottcher, Karin Jennings and Dorick Savageau were present, with Dorrick abstaining from Board decisions during this meeting. Also present were members, Rollie and Phyllis Rounds (Links Condos) and Jack Schunke, of Golf Course Partners (GCP)

The Board met at the request of GCP as the City of Bozeman has required that they provide access to City water services to the 12 acre parcel to the west of Bridger Creek Subdivision owned by Bridger Center LLC. GCP is asking the Association (BCSCA) to grant an easement for water only across the BCSCA park and trail, as prescribed in the BCSCA Covenants (Section 5c, page 13). This easement is required by the City of Bozeman as a condition for GCP to continue development of the Links Condo project. In order to coordinate and cooperate with the City and GCP, the Board met to discuss this requirement and possible options.

Following discussion the Board agreed to work with Golf Course Partners to draft an easement from BCSCA to Bridger Center LLC. This easement would be for the sole purpose of accessing city water from Boylan Road to the Bridger Center LLC property and contingent on:
a) annexation of the Bridger Center LLC property to the City of Bozeman,
b) the number of units proposed on the Bridger Center LLC property may not exceed capacity of the service area,
c) no further easements may be requested by Bridger Center LLC from BCSCA or GCP,
d) no legal action may be brought against BCSCA or GCP by Bridger Center LLC with regard to easements,
e) all BCSCA and GCP attorney fees related to drafting and negotiating this easement will be reimbursed by Tom Murphy or Bridger Center LLC,  
f) in order to minimize impact, the easement would be aligned to an existing manhole on Boylan Road and would avoid any environmental impact to the spring creek located within the BCSCA park (between Boylan Road and the property),
g) all construction and remediation costs for installation within the easement would be paid by Tom Murphy or Bridger Center LLC,
h) the terms of such easement would go with the land and be applicable to all future owners, and
i) any other contingencies advised by the BCSCA and GCP legal counsel.

Any easement from the Association to Bridger Center LLC that is approved between the parties (Association Board, Bridger Center LLC, City, etc.) would be held and not be filed with the Gallatin County Clerk and Recorder’s Office until such time that the property is imminently and/or at an appropriate stage of its development process (so as not to be filed unnecessarily).

Board Meeting Nov 7th, 2016

The meeting was called to order at 6:30 pm at Karin Jennings’s home. Board members present:  Sharyn Anhalt, Dian Bottcher, Karin Jennings and Dorick Savageau.

Approval of Minutes – The minutes from the Board Meeting of July 6, 2016 and August 3, 2016 were approved unanimously.

Design Review Committee – Sharyn reported that she received a call from the neighbor to Lot 4, Phase 3 with questions/concerns about the concrete wall poured between the garage and the west lot line. The owner reported that it is part of the 3-tiered retaining walls in the approved landscape plans. However, the tiers were flipped from original submission for structural engineering purposes (the depth and amount of soil that would need to be accommodated). Revised landscape plans showing the change to the wall were provided and approved.

Board Succession Planning – The Board discussed succession planning as one Board position has been vacant since July (announced in the August 3 Minutes) and no one has expressed interest to the request for member involvement at the May 2 Annual Membership Meeting. Since inception in 2002 this Board has always been a very active volunteer board. The Board discussed exploring hire of a management company to handle the bulk of the current board activities. This would reduce the time commitment currently required of board members and possibly allow for others to get involved. Our Covenants provide for the hiring of a management company (Article 5, Section 5(d) on page 13). There would still be a Board to oversee the management company and make decisions on behalf of the Association. The Board agreed to explore this further and Karin volunteers to investigate and report.

New Business – none

Finance/Treasurer Report – Current Financial Statements were provided, reviewed and approved unanimously. There is $42,207 available in the checking account as of September 30th. Late notices for unpaid dues, with interest accruing for those not yet paid after sixty days, were mailed October 5th.

The meeting was called to order at 8 am. Board members:  Sharyn Anhalt, Dian Bottcher and Karin Jennings were present; Dorick Savageau was absent.

Dissolution of Association
For background, see minutes from July 3 and June 6. Karin updated the Board on her discussions with Chris Saunders, acting Director of Community Development (aka Planning) regarding process steps should the membership vote to dissolve the Association. The Board discussed pros/cons and processes with its Attorney, Eric Nord, via phone. Following discussion, the Board agreed that pursuing dissolution of the Association by bringing a vote to the membership is not the best course. All agreed it is unlikely to pass given the requirement for 75% approval from the membership and the low percentage of ballots which are typically returned. The Board discussed reviewing a streamlined set of Covenants and will request one from Eric.

Opening on Board
Bill Ranard stepped down from the Board on July 13th due to the amount of travel he has been enjoying during his retirement. From Bill: “Effective with this writing, I submit my resignation. Given the amount of travel we do, I find that I am no longer an effective contributing member of the board. Thank you all, especially Sharyn, for the outstanding work you do for the BCSCA.”

Design Review
Dave recently reported via email to the Board that plans for new construction of a single family house on Lot 2, Phase 1 (1007 Boylan) were submitted, reviewed and approved. The owner will be mailing the review fee to the Association.

The Board received and reviewed the landscaping plan for new construction of a single family house on Lot 4, Phase 3, which were approved. (House and site plans were reviewed previously by the Board on June 15th.) The review fee has been received and the Board approved all plans for this lot, including the requested variance for secondary roof pitches (shed roofs at 3:12 pitch).

Drainages on Augusta (Phase 2)
Karin reported that she received a call from neighbors to the drainage between lots 22 and 23, stating that it is not draining properly. The neighbors first called the City, who was very responsive in sending out a maintenance crew to clean the clean-out. This drainage, owned as common space of the Association, was never installed with proper slope to convey water from Augusta to the Golf Course by the Developer. There are a total of 3 Association-owned drainages in Phase 2. Following discussion, Sharyn made a motion to determine whether the City will require a permit for any work done on the drainage, then determine what work may be required to fix this and any other drainages that are not working properly, and submit a proposal to the Board; which passed unanimously. An engineer would be needed and bids for the work would be obtained. Karin volunteered to head this up and will report back to the Board on findings.

Phase 3 Park Disturbance
As an update to the minutes from the July meeting, Karin mentioned that the Phase 3 park and trail have been nicely repaired/replaced by the City (City’s contractor) and she communicated “thanks” to the City via email.  We will need to keep an eye on the area for weeds over the next couple of years due to disturbance.

Special Board Meeting July 6, 2016

The meeting was called to order at 5:35 pm. Board members:  Sharyn Anhalt, Bill Ranard, Dian Bottcher and Karin Jennings were present; Dorick Savageau was absent.

Approval of Minutes – The minutes from the Board Meetings of May 2, May 16, June 6, and June 15, 2016 were approved unanimously without modifications. 

Amendments to Covenants
Upon further review and discussion of the amendments needed to be made to the Covenants, the Board realizes there are too many intricacies involved with preparing an accurate Amended and Restated Covenants. As such, the Board agreed to reverse its decision and will not be recommending Amended and Restated Covenants for a vote of the membership. The August 22 special membership meeting (set at the June 6 Board meeting) is therefore cancelled.

Termination of Association
The Board revisited its discussion of terminating the Covenants and the Association, particularly in light of the status of our Covenants and the decision not to pursue amendments. Following this discussion, a motion was made to proceed to research the viability of dissolution of the Association in accordance with the Covenants (page 17, section 2) and the City of Bozeman ordinance 38.38.030 (see June 6 Minutes); approved unanimously.

Phase 3 Park Disturbance
Karin emailed the City on June 28th requesting an update on the status of the remediation work in the Phase 3 park. She hasn’t received a response yet, and will follow-up next week if still no response.

The meeting was called to order at 5:15 pm. Board members:  Sharyn Anhalt, Dian Bottcher, Dorick Savageau and Karin Jennings were present; Bill Ranard was absent. 

Review of House Plans – Plans were submitted for new home construction for lot 4 in Phase 3. The Board reviewed instead of the Design Review Committee because the plans included a variance in secondary roof pitches that were preliminarily approved by the Board via email on April 25, 2016. Sharyn will follow up with the builder on a few items, including provision of review fee.
